1. Acceptance of Terms
By accessing and using the services provided by RoadRunners LLC ("Company", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Description of Services
RoadRunners LLC provides software development, web development, mobile application development, cloud solutions, UI/UX design, cybersecurity services, and technology consulting services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.
3. User Responsibilities
As a user of our services, you agree to:
- Provide accurate, current, and complete information when engaging our services
- Maintain the security of any passwords, identification, or other credentials used to access our services
- Notify us immediately of any unauthorized use of your account or any other breach of security
- Use our services only for lawful purposes and in accordance with these Terms
- Not interfere with or disrupt the integrity or performance of our services
4. Intellectual Property Rights
All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, are the exclusive property of RoadRunners LLC or its content suppliers and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
Unless otherwise agreed in writing, all custom software, code, and deliverables created by RoadRunners LLC for a client remain the property of RoadRunners LLC until full payment is received, at which point ownership transfers to the client as specified in the project agreement.
5. Payment Terms
Payment terms will be specified in individual project agreements. Generally:
- Projects may require an initial deposit before work begins
- Payment schedules will be outlined in the project proposal or contract
- All fees are non-refundable unless otherwise stated in writing
- Late payments may incur additional fees or result in suspension of services
6. Project Scope and Changes
The scope of work for each project will be defined in a written agreement. Any changes to the project scope, timeline, or budget must be agreed upon in writing by both parties. Additional work outside the original scope may result in additional charges.
7. Warranties and Disclaimers
RoadRunners LLC provides services "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that our services will be uninterrupted, secure, or error-free. We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law, RoadRunners LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services.
9. Confidentiality
RoadRunners LLC agrees to maintain the confidentiality of all proprietary information provided by clients during the course of our engagement. We will not disclose such information to third parties without prior written consent, except as required by law.
10. Termination
Either party may terminate a project agreement with written notice. Upon termination:
- All work completed up to the termination date will be invoiced
- Client will receive all deliverables completed to date
- Confidentiality obligations will continue to apply
11. Indemnification
You agree to indemnify and hold harmless RoadRunners LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of our services or violation of these Terms.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Armenia, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Yerevan, Armenia.
13. Modifications to Terms
RoadRunners LLC reserves the right to modify these Terms at any time. We will notify users of any material changes by posting the updated Terms on our website. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with any project-specific agreements, constitute the entire agreement between you and RoadRunners LLC regarding the use of our services and supersede all prior agreements and understandings.
